Seller Brain Terms of Service

1. Agreement

This Agreement is between you (“Member,” “you,” or “your”) and Saas Services, LLC, a Florida corporation (“Seller Brain,” “we,” “us,” or “our”).

This Agreement begins on the date you register for the Service by providing your name and email address and governs your subscription to and use of Seller Brain’s services, including its website, applications, and related services (collectively, the “Service”).

BY USING THE SERVICE, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

2. Service Description

Seller Brain provides a cloud-based software platform designed to assist Amazon sellers in managing operational workflows, including inventory, shipping, analytics, forecasting, and related business processes.

Seller Brain operates as an independent software provider and may access Amazon seller-authorized data via the Amazon Selling Partner API (“SP-API”) solely for the purpose of delivering authorized service functionality.

Seller Brain is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc.

3. Eligibility

By using the Service, you represent and warrant that:

  • You are legally capable of entering into this Agreement.

  • You have authority to bind your business entity (if applicable).

  • You will use the Service in compliance with all applicable laws and Amazon’s agreements and policies.

4. Subscription and Trial

Seller Brain offers a 14-day free trial beginning on your Effective Date.

After the trial period, continued access requires enrollment in a monthly or annual subscription.

Subscriptions are non-exclusive and non-transferable.

Annual subscriptions may include discounted pricing. Early termination of annual subscriptions may result in prorated refunds without the discount applied.

5. Billing and Cancellation

Subscription fees are billed on a recurring basis according to your selected plan.

You must cancel your subscription prior to your next billing date to avoid renewal charges.

Fees are earned upon payment.

We reserve the right to modify subscription pricing upon notice.

6. Acceptable Use

You agree that you will not:

  • Share account access with unauthorized third parties.

  • Reverse engineer, copy, modify, or distribute the Service.

  • Use the Service to violate Amazon policies or agreements.

  • Use the Service to engage in unlawful, fraudulent, or deceptive practices.

  • Use the Service to extract, resell, or redistribute Amazon-derived data.

If we reasonably believe your use violates these Terms or Amazon’s policies, we may suspend or terminate your access.

7. Amazon Data Use and Restrictions

If you authorize Seller Brain to access your Amazon account through SP-API:

  • Data will be accessed solely to provide the functionality you authorize.

  • Amazon-derived data will not be used for advertising, marketing, resale, or cross-seller benchmarking.

  • Amazon customer Personally Identifiable Information (PII) is not stored by Seller Brain.

  • Only non-identifiable transactional metrics (such as order totals, counts, refund totals, and return counts) may be retained for reporting purposes.

Seller Brain is designed to operate in alignment with Amazon’s Selling Partner API requirements. You remain solely responsible for compliance with Amazon’s Business Solutions Agreement and related policies governing your seller account.

8. Data Security

Seller Brain implements reasonable administrative, technical, and organizational safeguards to protect data processed through the Service.

However, you acknowledge that no system can guarantee absolute security, and use of the Service is at your own risk.

9. Intellectual Property

Seller Brainretains all rights, title, and interest in and to the Service, including all intellectual property rights.

You may not:

  • Copy, modify, or distribute the Service.

  • Reverse engineer or decompile the Service.

  • Use the Service to develop a competing product or service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

SELLER BRAIN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Seller Brain does not guarantee:

  • Continuous or error-free operation.

  • Specific financial results.

  • Carrier rate accuracy or freight classification outcomes.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

SELLER BRAIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU DURING THE ONE (1) MONTH PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Seller Brain and its officers, directors, employees, and affiliates from any claims, damages, or losses arising from:

  • Your misuse of the Service.

  • Your violation of these Terms.

  • Your violation of Amazon’s policies or agreements.

13. Termination

We may suspend or terminate your access if:

  • You violate these Terms.

  • You fail to pay subscription fees.

  • Your use poses legal or security risk.

You may terminate your subscription at any time according to the cancellation terms.

14.International Use

The Service is operated in the United States. By using the Service, you consent to processing of data in the United States.

15. Assignment

Seller Brain may assign this Agreement at its discretion.

You may not assign your rights without prior written consent.

16. Governing Law

This Agreement shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any legal action shall be brought in Florida courts.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Seller Brain and supersede all prior agreements.
